What Is First Close?

First close is the initial date a fund accepts LP commitments and begins operating—often while fundraising continues toward a larger final close.

First close is the inaugural closing date on which a private fund admits initial limited partners, collects first subscriptions, and typically begins its investment period—while often continuing to raise additional capital.

How it works

Fund formation spans months of LP pitching. At first close, early LPs sign subscription agreements and may fund initial capital calls. The GP can deploy into deals subject to LPA minimum fund size or internal policy. Subsequent interim closes add LPs with potentially adjusted fee accrual dates (equalization mechanics). Final close ends fundraising.

Marketing announces first close with a headline commitment total—“$100M first close on $250M target”—to create FOMO for remaining allocation. Side letters and MFN clauses may grant early LPs fee discounts or co-invest rights.

Investment period clocks and management fee bases often start at first close even if the fund is not fully subscribed—check each LPA.

Why it matters

  • LPs: Early close participants may negotiate better economics; later LPs enter a fund already deploying—review pacing and portfolio transparency.
  • GPs: First close validates the strategy in market; premature announcement without legal close creates credibility damage.

Common mistake

Assuming first close equals full fund size. Until final close, remaining capacity and terms can still shift—diligence the actual subscribed capital, not press release targets alone.
