What Is Final Close?

Final close is the last date a fund accepts new limited partner commitments, fixing fund size and ending the fundraising period before full deployment focus.

Final close is the concluding subscription event for a private fund after which the general partner no longer admits new limited partners or increases commitments, establishing the fund’s final size.

How it works

Fundraising spans first close (initial capital collected, often allowing interim closes) through one or more interim closes with updated fee bases for new LPs. Final close caps total commitments—say $250 million—and triggers full investment period clocks, management fee calculations on committed capital, and LP reporting cohort consistency.

Some LPAs allow modest oversubscription or GP discretion for strategic anchors until final close documents sign. After final close, new exposure comes via secondary LP purchases, not primary admission. GPs communicate deployment pacing and capital call expectations post-close.

Emerging managers sometimes announce a “final close” early to create momentum while legally keeping a technical interim window—read the press release against legal filings.

Why it matters

  • LPs: Commitments before final close may carry fee step-downs or MFN clauses; missing final close means waiting for the next vintage.
  • GPs: Final close size determines fund economics, team hiring, and check size strategy; overstated closes without legal finality confuse the market.

Common mistake

Confusing headline fundraising targets with legal final close. Until definitive agreements sign, “target close” is marketing, not committed capital.
