What Is Employee Option Pool?

An employee option pool is shares reserved in the cap table for future equity grants to employees, advisors, and executives—typically created or expanded at funding rounds.

Employee option pool is the reserved portion of a startup’s cap table dedicated to equity compensation for team members—not yet allocated to individuals, but authorized for future grants.
How it works
Before a Series A, a company might have 15% of fully diluted shares in the pool. As employees join, the board grants options from the pool per the equity incentive plan. Unallocated pool remains available; allocated but unvested options count against the pool until exercised or cancelled.
Investors frequently negotiate pool top-ups at financing: e.g., increase pool from 10% to 15% pre-money, which dilutes existing shareholders before new money enters. Founders feel this as “option pool shuffle”—dilution for hiring budget baked into pre-money valuation.
409A valuations (U.S.) set strike prices for new grants. Refresh grants and promotions draw from remaining pool; exhausted pools require board and often investor approval to expand.
Why it matters
- Founders: Right-size the pool for 18–24 months of hiring plan. Too small means mid-round renegotiation; too large dilutes you upfront.
- Investors: Pool is part of ownership math in term sheets. Lead investors want enough unallocated equity to attract talent post-close.
- Employees: Offer letters reference option count and ownership percentage—verify pool has room and understand dilution from future rounds.
Common mistake
Assuming the pool dilutes only employees. Pool expansion dilutes founders and common proportionally unless deal structure says otherwise—often it is pre-money dilution hitting founders hardest.
