What Is Canceled Options?

Canceled options are equity grants removed from an employee's account — usually unvested shares forfeited on departure, grants revoked for cause, or awards terminated in a repricing or pool rebalancing.

Canceled options are employee stock option grants terminated before exercise — most commonly unvested awards forfeited when someone leaves the company.

How it works

When an employee with options departs, unvested grants typically cancel automatically and return to the company option pool per the equity plan. Vested but unexercised options may expire after a post-termination window unless the company allows early exercise or extended exercise periods.

HR and counsel record cancellations in the cap table system. The recycled shares can be re-granted to replacements without immediately expanding the pool — though investors may still require a pool increase if net hiring outpaces returns.

Cancellations also occur in corporate actions: repricing underwater options, M&A treatment of awards, or clawbacks for misconduct. These differ from burned options, which emphasizes economic loss to the holder, but the cap table effect overlaps.

Track cancellation reasons in HR analytics. Voluntary departures before cliff vs after cliff tell different stories about culture and compensation competitiveness — investors sometimes ask for attrition cohorts during diligence.

Why it matters

  • Founders: Track cancellation rate by department. High engineering churn with large canceled grants suggests compensation or management issues, not just “normal attrition.”
  • Investors: Option pool modeling assumes some recycling. If cancellations are low because nobody stays long enough to vest, you have a retention problem masquerading as cap table stability.

Common mistake

Assuming canceled shares automatically fix a depleted pool without board approval for re-grants. Process and plan limits still apply.
