What Is Board Pack?

A board pack is the complete document bundle distributed to directors ahead of a board meeting, supplementing the /glossary/board-deck with detailed supporting materials.

How it works

Standard contents: monthly or quarterly financials (P&L, balance sheet, cash flow), KPI spreadsheet, cap table and option grant summary, minutes from the prior meeting, open legal matters, financing or M&A status, and committee reports if applicable. Large companies add audit and compliance memos; startups keep packs lean but must include runway and hiring versus plan.

Packs circulate via secure data room or board portal 48–72 hours before the session. /glossary/board-observer recipients often receive the same pack under NDAs. Executive session materials may be split into a separate confidential appendix.

Corporate secretaries or CFOs assemble packs; CEOs review for consistency between narrative deck and numbers. When a company adds independent directors, the first few packs set tone — completeness builds credibility before high-stakes votes on budget or CEO compensation.
