# What Is Unicorn?

**A unicorn** is a privately held company with a post-money valuation of at least $1 billion — coined when such outcomes were statistically rare.

### How it works

Valuation comes from the latest priced round: pre-money plus new investment sets post-money; divide by fully diluted shares for price per share. Crossing $1B post-money earns unicorn status in press and databases. Decacorns exceed $10B; hectocorns $100B — mostly late-stage pre-IPO names.

Unicorn counts rise and fall with venture cycles — ZIRP eras inflated counts; corrections produce down rounds and "unicorn recapture." Status does not require profitability; growth and investor demand drive marks.

Employees hold common/options worth far less per share than preferred in many cap tables — unicorn valuation is an enterprise headline, not personal net worth.
