# What Is Option Overhang?

> Option overhang is the gap between shares reserved or granted under a company's equity plan and shares that have actually been issued upon exercise—unexercised options that still count in fully diluted ownership.

**Option overhang** is the equity overhang from options—granted but unexercised awards and sometimes unissued pool reserves—that increases fully diluted share count before cash hits the company.

### How it works

When employees hold vested or unvested options, those rights sit on top of issued shares. Cap tables typically show "fully diluted" ownership assuming all options exercise and the entire [option pool](/glossary/option-pool) is used. That assumption creates overhang: the difference between basic shares outstanding and the fully diluted total.

Overhang grows when companies grant generously, refresh the pool, or leave many options underwater (strike above fair market value). At exit, only exercised options matter for cash splits—but acquirers and IPO underwriters still care about overhang because unexercised awards may convert, net exercise, or require repricing.

Boards review overhang when approving large grants or considering a sale. Acquirers may ask employees to exercise or cancel underwater options as part of cleanup, which affects retention packages and closing conditions.
