# What Is Opco?

> Opco — operating company — is the entity that runs day-to-day business operations, distinct from a holding company (Holdco) or asset-owning parent in corporate structures.

**Opco** (operating company) is the legal entity that conducts core business activities — employing staff, signing customer contracts, and holding operating assets — as opposed to a passive holding parent.

### How it works

Structure example: Holdco Inc. owns 100% of Opco LLC, which runs the SaaS product. IP may live in Opco or a dedicated IP Holdco depending on tax and exit planning. Venture financing usually invests in the top-level Holdco that owns Opco, with guarantees or stock pledges linking credit to operations.

Private equity **buy-and-build** creates new opcos per acquisition under a platform Holdco. Venture-backed startups sometimes split international subsidiaries as regional opcos under a U.S. parent.

Diligence maps contracts, litigation, and employment to the correct opco — mismatches delay closings.

### Why it matters

- **Founders:** Keep cap table, equity plan, and customer MSAs on aligned entities early. Retroactive IP assignment between Holdco and opco is fixable but expensive.
- **Investors:** Debt, revenue-based financing, and acquisition targets reference opco financials. Holdco-level cash with opco-level burn requires intercompany agreements documented cleanly.
