# What Is Marketing Period?

> Marketing period is the window in an M&A or fund-raise process when bankers or GPs actively shop a deal to potential buyers or LPs before binding commitments close.

**Marketing period** is the active phase of a transaction when advisors present an opportunity to prospective buyers or investors to gauge demand and set pricing before signing definitive agreements.

### How it works

In company sales, the board hires a banker who prepares materials and runs a process:

1. Prepare confidential information memorandum (CIM)
2. Contact strategic and financial buyers
3. Accept NDAs and grant [data room](/glossary/data-room) access
4. Host management presentations
5. Collect indications of interest and refine price

The marketing period length varies—weeks for a hot asset, months for complex carve-outs. Exclusivity may be granted to one bidder after initial marketing, ending broad outreach.

In fund raising, GPs similarly market a new vintage to LPs during the marketing period before [first close](/glossary/first-close) and final close.

### Why it matters

- **Founders:** Leaks and team distraction peak during marketing. Assign a diligence lead, keep KPIs on track, and control messaging through the banker.
- **Investors:** As buyers, marketing periods are when you decide whether to pursue IOI and how much diligence to fund before term sheets.

### Common mistake

Running an informal marketing period without NDAs or process discipline. Loose outreach creates rumor risk and weak pricing leverage.

## FAQ

### What is marketing period in simple terms?

It is the active outreach phase—buyers get teasers, sign NDAs, and receive diligence materials while the seller tests interest and price. For funds, it is when GPs pitch LPs before final close.

### Why does marketing period matter?

Deal momentum and competitive tension build here. Founders must keep operations steady while management time shifts to management presentations and diligence requests.
