# What Is Management Fee Offset?

> Management fee offset is an LPA provision requiring the GP to credit the fund—or reduce LPs' management fees—when portfolio companies pay transaction, monitoring, or director fees to the management company.

**Management fee offset** is a limited partnership agreement rule that credits fees paid by portfolio companies to the GP's management company against the management fees owed by LPs.

### How it works

Some GPs charge portfolio companies for board service, financing support, or monitoring—especially in private equity. Without offsets, LPs would pay management fees while the GP also extracts company-level fees—a form of double compensation.

Standard LP terms require 100% offset (or a high percentage) of such fees against LP-paid management fees, often with caps or exclusions for broken-deal expenses. Example: if LPs owe $2M in annual management fee and portfolio companies pay $400K in director fees, net management fee due may be $1.6M.

Venture funds vary: many VC firms do not charge monitoring fees at all; PE-style practices are more common in growth equity and buyout funds.
