**Management company** is the operating entity of a venture or private equity firm—the organization that employs investment professionals and runs the business of raising and managing funds.

### How it works

Each fund is typically a separate limited partnership with its own LPs and capital account. The **general partner (GP)** entity makes investment decisions for that fund. The management company sits above day-to-day operations:

- Employs partners, principals, and platform staff
- Receives [management fees](/glossary/management-fee) from funds under contractual agreements
- Bears office, legal, and non-deal expenses not charged to the fund
- Holds the firm's brand, CRM, and back-office systems
