# What Is GP Commitment?

> GP commitment is capital the general partner and its principals invest in their own fund—aligning interests with LPs by sharing downside and upside.

**GP commitment**—often called **GP commit**—is the capital that general partners and key principals contribute to their fund alongside limited partners.

## How it works

LPs negotiate minimum GP commit levels in fund documents—expressed as a percentage of fund size or a fixed dollar amount. Partners fund commits through the same capital call schedule as other LPs, though fee offsets or management fee recycling sometimes count toward the obligation. Commitment sources include personal savings, prior carry distributions, or credit lines secured against expected carry—LPs scrutinize how "hard" the commit is. Emerging managers with limited wealth may start at the low end of market norms and increase commit over time. GP commit does not replace carried interest alignment but demonstrates shared loss exposure.

## Why it matters

- **LPs:** Underweight GP commit signals misalignment, especially for first-time funds. Ask whether commit is cash-funded or fee-recycled only.
- **GPs:** A credible commit helps close anchors and sets cultural tone—partners eat their own cooking on fees and losses.
- **Founders:** Optional signal when picking investors—committed GPs may fight harder in down rounds, though commit size alone does not predict board quality.

## Common mistake

Counting recycled management fees as the entire GP commit without additional personal capital—some LPs discount soft commits.

## FAQ

### What is GP commitment in simple terms?

It is the GP's own money in the fund—partners write personal checks alongside LPs so they lose money too if the fund fails.

### Why does GP commitment matter?

Institutional LPs expect GPs to commit a meaningful fraction of the fund—often cited around 1–5%—as alignment proof before trusting them with large allocations.
