# What Is First Close?

**First close** is the inaugural closing date on which a private fund admits initial limited partners, collects first subscriptions, and typically begins its investment period—while often continuing to raise additional capital.

### How it works

Fund formation spans months of LP pitching. At **first close**, early LPs sign subscription agreements and may fund initial [capital calls](/glossary/capital-call). The GP can deploy into deals subject to LPA minimum fund size or internal policy. Subsequent **interim closes** add LPs with potentially adjusted fee accrual dates (equalization mechanics).
