# What Is Extension?

> In venture and private equity, an extension is an agreed lengthening of a fund's investment or termination period—or of a loan maturity—beyond the original contractual deadline.

**Extension** in private markets usually means extending a fund's life or a borrower's repayment timeline beyond the date originally set in the limited partnership agreement or credit contract.

### How it works

Classic VC funds run ~10 years with standard [extension options](/glossary/extension-option)—often one or two one-year periods requiring LPAC or LP majority approval. GPs request extensions when portfolio companies need more time to reach exit, when distributions are back-weighted, or when marking and selling assets in a weak M&A market would harm returns.

Portfolio company context: venture debt **maturity extensions** renegotiate payment dates when covenants are tight but lenders believe in recovery. Fundraising context: "extension" sometimes describes a bridge round keeping the company alive until a priced round—related but distinct vocabulary.

LP agreements specify whether management fees continue during extension, whether new investments are allowed, and how carry crystallization interacts with extended harvest periods.

### Why it matters

- **Founders:** An extended fund life may reduce forced-sale pressure but can also mean aging investor bases and less fresh follow-on from that vintage.
