# What Is Buy-and-Build?

**Buy-and-build** is a roll-up strategy: acquire a platform business, then bolt on smaller companies to create scale before an exit.

### How it works

A private equity sponsor identifies a fragmented industry — dental practices, HVAC services, vertical SaaS niches, insurance brokers — and buys a strong **platform** company with solid management and systems. Over three to five years, the sponsor funds **add-on acquisitions**: tuck-ins that add customers, regions, or product lines.

Value creation comes from revenue synergies, shared back office, better purchasing power, and a higher multiple on combined EBITDA at sale. Debt often funds add-ons, amplifying returns if integration works.

In venture-backed markets, buy-and-build appears when growth equity or PE buys a category leader and consolidates weaker competitors — sometimes including former VC-backed startups that stalled.

Integration playbooks matter as much as deal sourcing. Successful sponsors assign dedicated integration leaders, track synergy milestones quarterly, and standardize billing systems early — otherwise add-on revenue stays siloed and multiples never expand at exit.
