# What Is AML?

> AML (anti-money laundering) is the set of laws, policies, and procedures that require financial institutions and many fund administrators to verify customer identity and monitor transactions for illicit activity.

**AML** (anti-money laundering) compliance is the legal framework and operational process for detecting and preventing use of the financial system for crime—implemented through know-your-customer (KYC) checks and ongoing monitoring.

## How it works

When you subscribe to a fund or open a company bank account, administrators collect passports, entity formation docs, beneficial ownership charts, and sanctions-screen hits (OFAC lists). Politically exposed persons trigger enhanced diligence. Crypto and cross-border wires face extra scrutiny.

GPs delegate to fund admins (CSC, Carta, AngelList) but remain responsible for program design. Startups closing rounds provide similar packets to counsel escrow accounts. Suspicious activity may be reported to regulators via SAR filings—handled by compliance teams, not founders directly.

## Why it matters

- **Founders:** Start KYC early on international co-leads; exotic entity structures slow closings.
- **Investors:** LP questionnaires are repetitive but mandatory; keep standardized PDFs ready for each subscription.
- **GPs:** Weak AML programs risk bank debanking and regulatory fines—no joke for emerging managers.

## Common mistake

Creating nested offshore SPVs without documented beneficial owners. Admins will halt the wire until the chain is transparent.

## FAQ

### What is AML in simple terms?

Rules that stop criminals from using the financial system to hide illegal money. Banks and fund admins collect IDs, ownership charts, and sanctions checks before accepting wires.

### Why does AML matter?

Without clean KYC/AML files, a fund cannot legally accept your capital or a startup cannot open a venture bank account. Failed checks freeze deals until documentation clears.
